1. Acceptance of Terms

By accessing or using khizerhayat.com, booking a consultation, submitting the contact form, or engaging any services provided by Khizar Hayat, you agree to be bound by these Terms and Conditions.

If you do not agree with any part of these terms, you should not use this website or engage these services.

These terms apply to all visitors, enquirers, and clients regardless of how they reached this website or initiated contact.

2. Services Offered

Khizar Hayat provides the following digital marketing services to local businesses:

• Local SEO — improving organic search visibility in Google Search and Google Maps
• Google Ads management — paid search campaign setup, management, and optimisation
• Meta Ads management — Facebook and Instagram advertising campaign management
• Google Business Profile optimisation and ongoing management
• Custom WordPress website design and development

Services are provided primarily to local businesses in New Braunfels, Comal County, San Marcos, Seguin, Canyon Lake, and the surrounding Texas Hill Country. Remote engagements are available for businesses across Texas.

The specific scope, deliverables, and timeline of any engagement are defined in a separate written agreement or proposal provided to the client before work begins. These Terms and Conditions apply alongside that agreement.

3. Client Engagements

Month-to-month structure

Engagements operate on a month-to-month basis unless otherwise agreed in writing. There are no long-term contracts or minimum commitment periods unless explicitly stated in a written proposal.

Direct management

All strategy, execution, and reporting within an engagement is handled personally by Khizar Hayat. No work is subcontracted to third parties without the client’s prior written consent.

Free consultation

The free 30-minute consultation offered on this website is provided at no charge and with no obligation. The consultation is an initial assessment only and does not constitute a formal service engagement or guarantee of availability.

4. Payment and Fees

Fees for services are agreed upon in writing before any work begins. No work will commence until the agreed fee structure has been confirmed by both parties.

• Service fees cover strategy, management, reporting, and communication. They do not include advertising spend on platforms such as Google Ads or Meta Ads, which is paid directly by the client to the relevant platform.
• Payment terms, invoicing frequency, and accepted payment methods are specified in the written engagement agreement.
• Late or missed payments may result in a pause or suspension of active services until the outstanding balance is settled.
• Fees are subject to change with reasonable written notice. Changes take effect at the start of the next billing cycle.

Khizar Hayat does not add a percentage markup on top of client advertising budgets. The advertising spend you approve goes directly to the platform.

5. No Guaranteed Results

Khizar Hayat will apply professional expertise, active management, and data-driven optimisation to pursue the agreed objectives. However, the following factors are outside direct control and may affect outcomes:

• Changes to Google’s search algorithm or ranking systems
• Changes to Meta’s advertising platform policies or delivery systems
• Competitive activity in your market from other businesses
• Customer demand, seasonal trends, and local economic conditions
• The quality of your business’s offer, pricing, and customer handling process
• Platform auction dynamics affecting the cost of paid advertising

Any projected outcomes, benchmarks, or targets discussed during a consultation or proposal are estimates based on available data. They are not contractual guarantees.

6. Intellectual Property

Work product delivered to clients

Upon full payment of all agreed fees, ownership of deliverables specifically created for a client — including website designs, ad creative, and written content — transfers to the client. This transfer applies to the final deliverables only, not to underlying frameworks, tools, templates, or methodologies used in their creation.

Website content

All content on khizerhayat.com — including text, images, structure, and design — is the intellectual property of Khizar Hayat. You may not reproduce, copy, distribute, or republish any content from this website without prior written permission.

Campaign assets

Ad copy, keyword lists, campaign structures, and targeting configurations developed during an engagement are strategic work product. Clients receive access to and ownership of these assets upon full settlement of fees. Khizar Hayat retains the right to reference the nature and general outcomes of campaigns in portfolio and case study materials, without disclosing identifying client information.

7. Client Responsibilities

For an engagement to produce the best possible outcomes, clients agree to:

• Provide accurate, complete, and up-to-date information about their business, services, target customers, and market
• Grant necessary access to advertising accounts, Google Analytics, Google Search Console, Google Business Profile, and any other platforms required to perform the agreed services
• Review and approve strategies, ad creative, and website content within a reasonable timeframe to avoid delays
• Pay advertising spend directly to the relevant platforms (Google, Meta) as agreed
• Communicate promptly and honestly about changes to the business that may affect the marketing strategy
• Not make unauthorised changes to live campaigns, website code, or account settings without prior discussion

Delays or poor outcomes resulting directly from a client’s failure to meet these responsibilities are not the liability of Khizar Hayat.

8. Confidentiality

Both parties agree to treat as confidential any sensitive business information shared during the course of an engagement. This includes but is not limited to campaign performance data, customer lists, business strategy, revenue information, and pricing details shared by either party.

Khizar Hayat may reference the existence of a client engagement and the general nature of results in portfolio materials, case studies, and on this website, provided that no sensitive or identifying commercial data is disclosed without the client’s written consent.

This confidentiality obligation continues after the end of an engagement for a period of two years.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Khizar Hayat’s total liability arising from or in connection with any service engagement shall not exceed the total fees paid by the client in the three months immediately preceding the event giving rise to the claim.

Khizar Hayat is not liable for:

• Loss of revenue, profit, or business opportunity resulting from marketing outcomes falling short of projected targets
• Losses arising from changes to Google, Meta, or other third-party platform policies or algorithms
• Losses caused by a client’s own decisions, actions, or inaction during an engagement
• Any indirect, incidental, or consequential damages of any kind
• Temporary suspension of ad accounts, website downtime, or platform outages outside direct control

Nothing in these terms excludes or limits liability for fraud, gross negligence, or any matter that cannot be excluded under Texas law.

10. Termination

By the client

Clients may terminate a month-to-month engagement by providing written notice before the end of the current billing period. Work will continue through the end of the paid period. No refunds are issued for work already completed or in progress at the time of termination.

Khizar Hayat reserves the right to terminate an engagement with written notice if:

• The client fails to make payment within the agreed timeframe
• The client provides materially false information about their business
• The client requests work that is unethical, illegal, or in violation of platform terms of service
• The working relationship becomes unproductive or the client’s business has changed in a way that makes the agreed scope no longer appropriate

Following termination

Upon termination, Khizar Hayat will provide the client with access to all accounts, assets, and data that belong to the client. Ongoing campaign management will cease at the end of the paid period.

11. Website Use

This website is provided for informational purposes. By using it you agree not to:

• Use the site in any way that violates applicable law or regulation
• Attempt to gain unauthorised access to any part of the website or its underlying systems
• Submit false, misleading, or fraudulent information through any contact or booking form
• Use automated tools to scrape, crawl, or extract content from the website without permission
• Reproduce or republish any content from this website without prior written consent

Khizar Hayat reserves the right to restrict or block access to the website for any user who violates these conditions.

The website is provided on an “as is” basis. While reasonable care is taken to keep information accurate and up to date, no warranty is made as to the completeness or accuracy of any content on this site.

Any disputes arising from these terms or any service engagement shall be subject to the exclusive jurisdiction of the courts of Comal County, Texas, unless otherwise agreed in writing.

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

14. Changes to These Terms

These Terms and Conditions may be updated from time to time. The effective date shown at the top of the page and in the footer will be updated whenever material changes are made.
